Terms of Service & End-User License Agreement

Effective October 5, 2026

1. Acceptance

These Terms of Service and End-User License Agreement (the “Terms”) govern your access to and use of Statement (the “Service”), operated by JOVE Inc. (“JOVE,” “we,” “us”). By accessing or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind it.

2. The Service

Statement is the sovereign commerce and identity platform — the system of record for identities, accounts, commerce, and access across the JOVE platform. JOVE grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

3. Accounts & eligibility

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. The Service is for business use by users 18 or older. We may suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to misuse the Service, including: accessing data you are not authorized to access; interfering with or disrupting the Service; reverse-engineering except as permitted by law; or using the Service to violate any law or the rights of others.

5. Third-party integrations

The Service can connect to third-party services, including Intuit QuickBooks Online, Stripe, and Xero. You authorize these connections, and your use of each provider is also governed by that provider’s own terms and policies. You are responsible for the accuracy of the data you synchronize and for maintaining your rights to the connected accounts. You may disconnect any integration at any time.

6. Intellectual property

The Service, including all software, design, sovereign-identifier systems, and content (excluding your data), is owned by JOVE Inc. and its licensors and is protected by intellectual-property laws (patent pending). No rights are granted except the limited license in these Terms. Your data remains yours.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, JOVE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to your use of the Service.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or where necessary to protect the Service or comply with law. Provisions that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms from time to time; material changes will be reflected by updating the effective date above. Continued use after changes constitutes acceptance.
